The Board of Director and the Shareholders shall,.be
required to hold an annual mee ting .Such meeting may be help by Telephone.Any
action or decision made by the Bo ard shall be evidenced by a wrinting
executed by the entire Board,which may howe ver,be accom plished by duplicate
Facsmiles.
4.3
Subject to the duties of each Shareholders as
set out in Paragraoh 3 while this Agree ment is in effect, Palencia,
Cuellar, Webster, Disner, and S locumb may each own or engage in other
businesses and investments of any King. None of the outsida
activi ties or investement engaged in by Shaeholders shall be considered
a corporate oppor tuni ty belonging to the Corporation, nor shall the other
Sharelholder have to right to participate in any such outside activities
or investments.
OTHER OR TRICKSTER OF ROB OF IDEA.
The shall establish such bank accounts for funds
of the Corporation as determined to be in the Corporation’s best interest,and
disburse ments from each account shall re quire one or more
signatures as the parties may mutually agree.
RESTRICTION OR TRANSFERS OF SHARES.
5.1
No Shareholders may voluntarily or involutarily
by operation of law sell, transfeer en cumber,pledge or hypothecate his
Shares,whether now owned or hereinafter acquired by him or her, unless,it
is in accordance with the... Buy-sell.Agreement attached here with as Exhibit
1. ..Any such trnasfer,sale,assignment,hypothecation,encumbrance or alienation
of shares,outside of the Buy-sell Agreement,or any of Them ,to the purpor
ted tranferee,assignee,pledgee or encumbrance holder.
5.2
The Corporation agrees not to cause or permit
the transfer of any Shares to be made on its books unless within the requirements
of the Buy-sell Agrement.
5.3
For as long as this Agreement is in effect.the
Corporation agrees not to issue any Sha res (either pursuant to a subsequen
issuance or in connection with a permitted trans fer)
unless approved by the Board of Directors .the issuee,purchaser or
transferee of such...... Shares may not then further transfer such Shares
unles such transfer is First approved in writing by the Board of Directors.
5.4
Each Certificate representing Shares of the Corporation

5.5
A copy of this Agreement,as amended from time

Any dispute, controversy or claim arising out
of or relating to this Agreement or the breach or calimed breach

fees,that are sustainded or suffered......... based upon a tranfer or attempt

9.Termination of Agreement.
This Agreement shall terminate upon the first

10 Independent Advice of Counsel.

11 Authoriry
Each of the Parties represents,warrants and agrees
that it has the full right and Autho rity to enter into this Agreement

right and authority to fully commit and bind such party.
12 No Presumption from Drafting
Given that allParties hace had the opportunity
to review and edit the language of thisAgreement and consult counsel
......with respect hereto ,no presumption for or against any party arising
out of drafting .all or any part of this ....Agreement will be applied
in any ac tion relating to ,connected with or involving this Agreement.
13.Severability
If any of the provisions of ......this Agreement
are found to be unlawful,void or for any other reason unenforceable,........such
provisions shall be deemed severable from,and shallin no way affect the
validity or enforceability of the remaining of this Agreement.
14,.Miscellaneous Provisions.
14.1
All parties to this Agreement,the Corporation
and each of the Shareholders, shall per form all acts and execute all documents
reaso nably necessary to carry out the provi siong and intend of this Agreement.
14.2
Subject to the restricions on the transfer of
shares,this Agreement shall be binding on the parties,hereto and inure
to the benefit of each of their heirs,personal reprensenta tives,successors
and assigns,No amendment or modification of this Agreement
shall be effective unless it is in writing and signed by all parties.
14.3.
Should any ....provision or portion of
this Agreement be held unenforceable or invalid for any reason,the remainder
of this Agreement Shall continue in full force and effect.
14.4
This Agreement ...shall be construed and governed
by the laws of the State of Califor nia and any arbitration or other..
action to enforce any right pursuant hereto ( without con ceding the propiety
